TERMS OF USE, DISCLAIMERS, AND CONDITIONS

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE INSTANT ROOF ESTIMATOR TOOL (THE "Tool") PROVIDED BY ORANGE CONTRACTING AND APPRAISAL, INC. D/B/A ORANGE CONTRACTING AND ROOFING ("Company," "we," "our," or "us"). BY ACCESSING OR USING THIS TOOL, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THIS TOOL.
1. PURPOSE AND NATURE OF ESTIMATES
1.1 Preliminary Estimates Only. The Tool provides preliminary, computer-generated estimates for residential and commercial roofing projects. These estimates are calculated using satellite imagery, publicly available property data, and standardized material pricing. They are intended solely to provide prospective customers with a general approximation of potential project costs for informational and budgetary planning purposes only.
1.2 Not a Binding Quote, Bid, or Proposal. No estimate generated by this Tool constitutes a quote, bid, proposal, offer, or contract. No estimate creates any binding obligation on the part of the Company. A binding agreement for roofing services can only be established through the execution of a written contract signed by an authorized representative of Orange Contracting and Appraisal, Inc. d/b/a Orange Contracting and Roofing.
1.3 On-Site Inspection Required. Final project pricing requires a comprehensive on-site inspection by a qualified representative of the Company. Actual project costs may differ materially from the Tool's estimates due to factors that cannot be assessed remotely, including but not limited to:
- Existing roof deck condition, damage, or deterioration (including but not limited to rotted, delaminated, or structurally compromised decking, sheathing, or substrates)
- Number of existing roof layers requiring removal and disposal
- Building code compliance requirements, including current Florida Building Code upgrades for fastener patterns, underlayment specifications, drip edge, and high-velocity hurricane zone (HVHZ) requirements
- Roof complexity, including valleys, hips, ridges, penetrations, skylights, solar panel removal and reinstallation, and flashing conditions
- Access limitations, equipment requirements, multi-story considerations, and site conditions
- Structural repairs, fascia board replacement, soffit damage, and associated carpentry
- Permit fees, engineering requirements, and inspection costs as required by the local authority having jurisdiction (AHJ)
- Waste disposal, dumpster placement, and environmental compliance costs
- Material price fluctuations, supply chain conditions, and manufacturer availability at the time of project execution
2. INSURANCE CLAIMS — EXCLUSIVE INAPPLICABILITY
2.1 Retail Pricing Only. THE ESTIMATES GENERATED BY THIS TOOL REFLECT GENERAL RETAIL PRICING FOR CASH-PAY AND SELF-FUNDED ROOFING PROJECTS. THESE ESTIMATES ARE NOT APPLICABLE TO, AND SHALL NOT BE USED IN CONNECTION WITH, ANY PROPERTY INSURANCE CLAIM, INSURANCE RESTORATION PROJECT, SUPPLEMENTAL CLAIM, OR INSURANCE-RELATED DISPUTE OF ANY KIND.
2.2 Different Methodology for Insurance Work. When Orange Contracting and Roofing performs insurance restoration work, project pricing is developed using Xactimate™ estimating software, which is the industry-standard platform utilized by insurance carriers, independent adjusters, public adjusters, and contractors for property insurance claim estimation. Xactimate pricing is:
- Based on individual line-item pricing for each specific task, material, and labor component — not aggregate per-square pricing
- Adjusted to reflect local market labor and material costs through Xactimate's proprietary price list databases
- Inclusive of items not contemplated by this Tool, including but not limited to overhead and profit (O&P), general contractor supervision, code upgrade line items, temporary protection, contents manipulation, debris removal by component, HVAC protection, interior protection, and additional trades coordination
- Subject to supplementation based on actual conditions discovered during tear-off and construction, which may significantly increase the total claim value above any preliminary estimate
- Developed through a fundamentally different estimating methodology that bears no relationship to the per-square retail pricing model used by this Tool
2.3 No Comparison or Correlation. There is no valid basis for comparison between the estimates produced by this Tool and the pricing developed for insurance restoration work. The per-square retail pricing methodology used by this Tool and the line-item Xactimate methodology used for insurance claims are fundamentally different systems that measure, account for, and price roofing work in entirely different ways. Any attempt to draw equivalence, comparison, or correlation between the two is methodologically invalid and factually unsupportable.
2.4 Insurance Claim Pricing May Exceed Retail Estimates. Users should be aware that the actual cost of an insurance restoration project — as properly documented through Xactimate line-item estimating — will frequently and substantially exceed the general retail estimates provided by this Tool. This is because insurance restoration pricing accounts for the full scope of insurable damages, code-required upgrades, overhead and profit, and supplemental items that are not reflected in a simplified retail estimate.
3. PROHIBITED USES AND THIRD-PARTY RESTRICTIONS
3.1 Intended Users. This Tool is provided exclusively for use by individual property owners and prospective customers of Orange Contracting and Roofing who are seeking a preliminary estimate for a self-funded roofing project on property they own or are authorized to manage.
3.2 Prohibited Users and Uses. The following uses of this Tool and its outputs are expressly prohibited:
- Insurance Carrier Use. No insurance company, insurance carrier, reinsurer, or any subsidiary, affiliate, agent, or representative thereof may use this Tool or rely upon its estimates for any purpose, including but not limited to: evaluating, adjusting, negotiating, disputing, supplementing, or settling any insurance claim; establishing or contesting the cost of repairs; or challenging any estimate, invoice, or supplement submitted by this Company, any public adjuster, or any policyholder.
- Insurance Adjuster Use. No staff adjuster, independent adjuster, desk adjuster, field adjuster, catastrophe adjuster, or any other person acting in the capacity of an insurance adjuster or claims examiner may use this Tool or cite its outputs in any claim file, estimate comparison, coverage determination, or dispute resolution proceeding.
- Litigation and Dispute Use. No party may use, reference, cite, or introduce the estimates generated by this Tool as evidence in any legal proceeding, arbitration, appraisal, mediation, administrative hearing, Department of Financial Services complaint, or any other formal or informal dispute resolution mechanism. The estimates are inadmissible for such purposes as they do not constitute expert opinion, are not based on individual property assessment, and do not reflect the methodology or standards applicable to insurance claim valuation.
- Competitive Intelligence. No competing roofing contractor, public adjuster, or insurance restoration company may use this Tool for the purpose of competitive pricing analysis, market research, or any other business intelligence purpose.
- Automated or Bulk Use. No person or entity may access or use this Tool through automated means, including bots, scrapers, scripts, or any programmatic method, or for bulk estimation of multiple properties.
3.3 Void If Misused. Any estimate generated through a prohibited use as described in Section 3.2 is void ab initio and carries no evidentiary, contractual, or informational weight whatsoever. The Company expressly reserves all rights, claims, and remedies available at law or in equity against any party that uses this Tool in violation of these Terms.
4. NO RELIANCE BY THIRD PARTIES
4.1 No Third-Party Beneficiaries. These Terms and the estimates generated by this Tool are intended solely for the benefit of the individual user and Orange Contracting and Appraisal, Inc. d/b/a Orange Contracting and Roofing. No third party, including but not limited to insurance carriers, adjusters, lenders, appraisers, attorneys, or government agencies, may rely upon or claim any right to the estimates produced by this Tool.
4.2 No Duty to Third Parties. The Company owes no duty of care, accuracy, completeness, or reliability to any third party with respect to the estimates generated by this Tool. The Company makes no representations or warranties to any person or entity other than the individual user regarding the accuracy, completeness, or applicability of any estimate.
5. LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER
5.1 As-Is Basis. THIS TOOL AND ALL ESTIMATES GENERATED BY IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.
5.2 No Guarantee of Accuracy. The Company does not warrant or guarantee the accuracy, reliability, or completeness of any estimate. Satellite imagery may be outdated, property measurements may be approximate, and material pricing may not reflect current market conditions. Users acknowledge that estimates are inherently imprecise and should be used only as a general reference.
5.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE CONTRACTING AND APPRAISAL, INC. D/B/A ORANGE CONTRACTING AND ROOFING, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THIS TOOL OR RELIANCE UPON ANY ESTIMATE GENERATED BY IT, REGARDLESS OF THE THEORY OF LIABILITY.
6. DATA COLLECTION AND PRIVACY
6.1 Information Collected. Use of this Tool may require the submission of personal information, including name, email address, phone number, and property address. This information is collected for the purpose of generating estimates, facilitating follow-up communication, and providing roofing services.
6.2 Third-Party Platform. This Tool is powered by Roofr, Inc., a third-party software platform. By using this Tool, you acknowledge that your information may be processed by Roofr in accordance with their own privacy policy and terms of service, which are separate from and in addition to these Terms.
6.3 Communication Consent. By submitting your information through this Tool, you consent to receive follow-up communications from Orange Contracting and Appraisal, Inc. d/b/a Orange Contracting and Roofing, including but not limited to phone calls, text messages, and emails related to your roofing estimate and our services. You may opt out of such communications at any time.
7. INTELLECTUAL PROPERTY AND PROPRIETARY INFORMATION
7.1 Proprietary Pricing. The pricing structures, material cost data, markup calculations, and estimating methodologies reflected in this Tool constitute proprietary business information of Orange Contracting and Appraisal, Inc. d/b/a Orange Contracting and Roofing. Unauthorized reproduction, distribution, or commercial use of this pricing information is prohibited.
8. FLORIDA-SPECIFIC PROVISIONS
8.1 Licensing. Orange Contracting and Appraisal, Inc. d/b/a Orange Contracting and Roofing is a licensed roofing contractor in the State of Florida. All work is performed in compliance with applicable Florida Building Code requirements and local ordinances.
8.2 Permits. Estimates generated by this Tool do not include permit fees unless otherwise specified. Florida law requires building permits for most roofing projects, and the actual cost of permits will be determined by the local building department based on the project's scope and valuation.
8.3 Insurance Restoration Regulatory Framework. The Company's insurance restoration work is governed by Florida Statutes including but not limited to Chapters 489 (contracting), 626 (insurance adjusting), and 627 (insurance rates and contracts). The simplified retail estimates provided by this Tool do not account for or reflect the regulatory requirements, documentation standards, or pricing frameworks applicable to insurance restoration work in the State of Florida.
9. GOVERNING LAW AND DISPUTE RESOLUTION
9.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
9.2 Jurisdiction. Any disputes arising out of or related to these Terms or the use of this Tool shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, Florida.
10. MODIFICATIONS AND SEVERABILITY
10.1 Right to Modify. The Company reserves the right to modify these Terms at any time without prior notice. Continued use of the Tool after any modification constitutes acceptance of the revised Terms.
10.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
10.3 Entire Agreement. These Terms constitute the entire agreement between you and the Company regarding the use of this Tool and supersede all prior or contemporaneous agreements, representations, or understandings.
BY USING THIS TOOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE.
